Acceptable Use Policy

When using our services, you agree not to:

• • Violate any laws in your jurisdiction

Intellectual Property Rights

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the engagement. This obligation survives the termination of our business relationship for a period of five (5) years.

Payment Terms

• • Late payments may incur interest at 1.5% per month

Warranties and Disclaimers

Limitation of Liability

IN NO EVENT SHALL QUANTUMSPRING BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Indemnification

You agree to indemnify and hold QuantumSpring harmless from any claims, losses, or damages, including reasonable attorney's fees, arising out of your use of our services, violation of these terms, or infringement of any third-party rights.

Termination

Either party may terminate the services:

• • For convenience with 30 days written notice
• • Immediately for material breach that remains uncured after 10 days notice
• • Upon completion of the agreed services

Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Czech Republic. Any disputes arising out of or relating to these Terms shall be resolved through:

2. 2. If negotiation fails, binding arbitration in Prague, Czech Republic
3. 3. The prevailing party shall be entitled to recover reasonable attorney's fees

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified to active clients via email. Continued use of our services after modifications constitutes acceptance of the updated Terms.

Severability

These Terms, together with any project-specific agreements, constitute the entire agreement between you and QuantumSpring regarding our services and supersede all prior agreements and understandings.
